Service Agreement

This Service Agreement (“Agreement”) is entered into between TotalHome.Solutions® (“THS,” “we,” “our,” or “us”) and the homeowner or authorized property representative (“Client,” “you,” or “your”) for the provision of home asset management services, subscription maintenance services, and related offerings.

1. Scope of Services

THS provides subscription-based home maintenance, preventative care, and property support services as outlined in the selected subscription tier (Tier 1, Tier 2, or Tier 3). Services are limited to the tasks listed in your tier description and may include routine maintenance, inspections, coordination of approved vendors, and preventative care.

Services outside the subscription scope may be available through:

  • Protection Plan / Banked Labor Hours
  • Project-based estimates
  • Market Readiness services
  • Estate Transition services

2. Subscription Term & Renewal

Subscriptions are billed monthly and continue on an ongoing basis until canceled by either party. Subscriptions renew automatically each month unless canceled with 30 days’ written notice.

3. Scheduling & Access

All services must be scheduled through the THS Command Center. You agree to provide safe, unobstructed access to the property. Missed appointments or inaccessible properties may incur a No-Access Fee.

4. Protection Plan / Banked Labor Hours

If enrolled, you accrue prepaid labor hours monthly. Hours may be used for approved tasks not included in your subscription. Hours are non-refundable, non-transferable, and may only be used at the property associated with this Agreement. All work must be scheduled through THS.

5. Market Readiness & Estate Transition Services

These services require a separate signed estimate or project agreement. Pricing, timelines, and scope depend on property conditions, vendor availability, and project requirements.

6. Vendor Network

THS uses approved, insured, background-checked vendors. Vendors are independent contractors. THS coordinates scheduling, communication, and quality oversight but is not responsible for vendor negligence, delays, or workmanship outside the scope of THS supervision.

7. Client Responsibilities

You agree to:

  • Provide accurate property information
  • Maintain safe access for technicians and vendors
  • Secure pets during visits
  • Notify THS of hazards or property changes
  • Follow safety and access protocols

8. Payment Terms

8.1 Subscription Fees

Subscription fees are billed monthly and due upon receipt. Failure to pay may result in service suspension or termination.

8.2 Additional Services

Project work, repairs, and non-subscription tasks require a signed estimate and payment according to the project agreement.

8.3 Late Payments

Late or failed payments may result in late fees, service suspension, or account termination.

9. Cancellation

You may cancel your subscription with 30 days’ written notice. Unused banked labor hours are forfeited upon cancellation. THS may cancel or suspend service for non-payment, unsafe conditions, fraud, or harassment of staff or vendors.

10. Limitations of Liability

THS is not liable for:

  • Pre-existing conditions
  • Hidden defects
  • Consequential or incidental damages
  • Vendor delays or supply chain issues
  • Weather or events outside our control

THS’s total liability is limited to two (2) times the annual subscription fees paid for the property.

11. No Warranty

Services are provided “as-is” and “as-available.” THS does not guarantee repair outcomes, vendor availability, project timelines, or increases in home value.

12. Property Condition

Client acknowledges that THS is not responsible for:

  • Structural issues
  • Foundation movement
  • Mold, rot, or moisture intrusion
  • Code violations
  • Prior workmanship defects

Any such conditions discovered during service will be documented and may require additional work outside the subscription scope.

13. Privacy & Data Use

Client information is collected and used in accordance with the THS Privacy Policy. THS does not sell personal information.

14. Intellectual Property

All THS materials, branding, manuals, and content are the exclusive property of TotalHome.Solutions® and may not be copied or distributed without written permission.

15. Dispute Resolution

Any disputes arising under this Agreement will be resolved through:

  1. Good-faith negotiation
  2. Mediation
  3. Binding arbitration, if necessary

Client waives the right to participate in class-action claims.

16. Modifications

THS may update this Agreement at any time. Continued use of services constitutes acceptance of the updated terms.

17. Entire Agreement

This Agreement, along with the Terms of Service and Privacy Policy, constitutes the entire understanding between the parties and supersedes all prior agreements.
